what could possibly be any down side to instill more accountability regarding these CEO's?

I"ll agree they definitely need to restructure how CEO's and executives get paid.

Especially these "bonuses" they hand out to one another.

Good question.

Companies have BOD's (Board of Director)'s that set executive compensations. The basic idea is to be generous enough to attract and keep talent. The problem is that many BOD's are only in it for the money and prestige themselves. They are almost always members of BOD's of other companies. If 1 company goes backrupt it's a case of "Oh well" "It was nice while it lasted" "The other 4 boards I'm on are still grossly over paying me for doing nothing."

If executive compensation was solely in the hands of shareholders the fear is that they would be so stingey that no talented CEO would go near the company. On the other hand, I believe that shareholders should have a louder voice in how much the top people are paid especially where it comes to severence pkgs. Also it should be based 90% on merit and not tenure or how long they've been there.

I own a lot of stock and I do get to vote on executive pay policies. This is pretty common in most companies.

That's what proxies are for.

All the companies that I own shares in send out proxies.

I do have a say.

When the business is going well, the executives are getting their salaries raised and fat bonuses.
